1. Services
1.1. PathSeekers provides digital marketing services, including but not limited to search engine optimization, social media management, content creation, and advertising campaigns.
1.2. Our services are subject to the laws and regulations of the province of Ontario, Canada.
2. Client Responsibilities
2.1. As a client, you agree to provide accurate and complete information necessary to provide our services. You are responsible for maintaining the confidentiality of any account credentials provided to you by us.
2.2. You are responsible for the content and materials you provide to us and for ensuring that they comply with all applicable laws and regulations. You agree not to submit any unlawful, offensive, or infringing content.
3. Fees and Payment
3.1. Our fees for services will be communicated to you separately and may be subject to change. Unless otherwise specified, all fees are quoted in Canadian dollars, and you are responsible for any applicable taxes.
3.2. Payment terms will be outlined in the agreement between you and us. Failure to make timely payments may result in suspension or termination of our services.
4. Intellectual Property
4.1. All intellectual property rights in our services, including but not limited to software, designs, graphics, logos, and content, remain the property of PathSeekers or our licensors. You are granted a limited, non-exclusive, and non-transferable right to use our services solely for your internal business purposes.
4.2. You retain all rights to your intellectual property and content that you provide to us for use in delivering our services. By providing such content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display it solely for the purpose of providing our services.
5. Confidentiality
5.1. We understand the importance of confidentiality and will treat any information you provide to us as confidential. We will not disclose your confidential information to third parties, except as required by law or with your consent.
6. Limitation of Liability
6.1. To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with the use of our services.
6.2. We make no guarantees regarding the performance, effectiveness, or results of our services. We cannot guarantee the success of any marketing campaigns or specific outcomes.
7. Termination
7.1. Either party may terminate the provision of our services at any time by providing written notice to the other party.
7.2. Upon termination, you remain responsible for any outstanding fees or obligations incurred before the termination.
8. Governing Law and Dispute Resolution
8.1. These Terms shall be governed by and construed in accordance with the laws of the province of Ontario, Canada.
8.2. Any disputes arising out of or relating to these Terms shall be submitted to the exclusive jurisdiction of the courts in Ontario, Canada.
9. Amendments
9.1. We reserve the right to update or modify these Terms at any time, effective upon posting the revised Terms on our website. Your continued use of our services after posting any changes constitutes your acceptance of such changes.
